Terms of Service

Last updated:

These terms govern your use of Foreman. By signing up or using the service, you agree to them. Please also read our Privacy Policy at https://yesforeman.com/privacy, which explains how we handle your data.

The service

Foreman is an AI-powered operations platform for field-service businesses. It helps you quote, schedule, invoice, track jobs, manage clients and staff, prepare timesheets, answer calls, and handle the other day-to-day work of running your business. "We", "us" means Alija Shrestha trading as Yes Foreman (ABN 50 329 525 416), the provider of Foreman. "You" means the person or business using it.

By creating an account or using Foreman, you agree to these terms. If you're using Foreman on behalf of a business, you confirm you're authorised to bind that business to these terms.

Accounts and workspaces

You must provide accurate information when creating an account, and keep your sign-in details secure. You're responsible for everything done under your account, so don't share your password, and let us know straight away if you think your account has been compromised.

A workspace is the account's business hub. The person who creates it is its owner and can manage its members, data and billing. Members you invite get access to the workspace's data according to the roles you grant them.

Your data

Your business data — clients, jobs, quotes, invoices, staff, timesheets and the rest — belongs to you. We only use it to run the service for you, as described in our Privacy Policy.

You're responsible for the data you put into Foreman, including making sure you have the right to use it (for example, client contact details and your staff's personal and pay details) and that it doesn't break any law or anyone's rights.

AI features

Foreman uses AI to draft quotes, summarise emails, answer calls and help with other tasks. AI can make mistakes. You're responsible for reviewing anything it produces before sending it to clients or relying on it — we provide the tools, but you run your business.

Don't use the AI features to generate anything unlawful, deceptive or harmful.

Payroll, accounting and tax

Foreman helps you prepare timesheets, pay-related figures, invoices and accounting records, and send them to the services you connect. It isn't payroll, accounting, tax or legal advice, and it doesn't replace your accountant, bookkeeper or payroll provider.

You're responsible for reviewing payroll, award and employment-condition, accounting and tax data — including hours, pay rates, GST or sales tax, and anything Foreman sends to Xero, QuickBooks, Gusto, Employment Hero or another service — before you rely on it, pay anyone, or lodge anything.

Acceptable use

Use Foreman lawfully and don't misuse it. In particular, you must not:

  • Attempt to access, tamper with or interfere with parts of the service, accounts or systems that you haven't been given access to.
  • Try to bypass any security measure, rate limit or access control.
  • Use the service to send spam, scam or unlawful communications.
  • Re-sell, sublicense or provide the service to third parties as a service of your own.
  • Copy, scrape or reverse-engineer Foreman beyond what these terms allow.
  • Upload anything that contains malicious code, infringes someone's rights, or is unlawful.

Connected services

Foreman can connect to third-party services you choose, such as Google (Gmail, Calendar, Drive), Outlook, Xero, QuickBooks Online, Gusto, Employment Hero, Stripe, Square, CompanyCam and Zapier. Those services are provided by their own companies under their own terms and privacy policies, which govern your use of them — Foreman isn't responsible for those services, their availability, or how they handle your data.

You're responsible for granting Foreman the access it needs (for example, approving the provider's permissions screen) and for disconnecting it when you no longer want a connection. You can disconnect any service from Foreman at any time.

Taking payments from your clients

If you connect Stripe or Square to take payments, those payments are processed by Stripe or Square and paid directly into your own Stripe or Square account. Foreman doesn't receive, hold or transfer those funds.

Your relationship with Stripe or Square, including their fees, payouts, refunds, disputes and chargebacks, is governed by your agreement with them. You're responsible for the amounts you charge and for refunds owed to your clients.

Billing and subscriptions

Paid plans are billed in advance, usually monthly or yearly, through our payment processor Stripe. You can see the plan attached to your workspace in the Billing area of the app.

Your subscription renews automatically until you cancel it. You can cancel at any time from the Billing area — you'll keep access until the end of the period you've paid for, and we don't refund partial periods except where the law requires it.

If payment fails, we may suspend access to the paid features of your workspace until payment is sorted out.

Trial periods, where offered, are free for the stated time; you may be asked for card details to start one, and if you don't cancel before it ends you'll be charged for the plan you chose.

Intellectual property

Foreman and everything in it — the software, design, logos and documentation — is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use Foreman for your own business, for as long as your subscription is active.

We don't claim ownership of your data. You keep all rights in it.

Availability and changes

We aim to keep Foreman available and reliable, but we don't guarantee it will be uninterrupted or error-free. We may need to perform maintenance, which can cause short outages.

We're always improving the product. We may add, change or remove features, and may update these terms from time to time — when we make material changes to the terms, we'll let you know through the app or by email. If you keep using Foreman after a change, you accept the updated terms.

Limitation of liability

Foreman is provided "as is" and "as available", to the extent the law allows. We don't warrant that it will meet your needs, be error-free, or that AI-generated content, payroll figures or accounting data will be accurate.

To the maximum extent permitted by law, we're not liable for indirect, incidental or consequential damages, lost profits, or lost data. Our total liability for any claim relating to Foreman is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability that can't be limited by law, including your rights under the Australian Consumer Law.

Termination

You can stop using Foreman at any time. You can export your data and delete your account from the app, or ask us to help close your workspace.

We may suspend or terminate access if you breach these terms, if your payment fails and stays unpaid, or where we're required to by law. We'll usually give you notice and a chance to fix the problem first.

When your workspace ends, we delete your data as described in our Privacy Policy — but anything you've already sent (for example, invoices issued to clients, or records already sent to a connected service) can't be unsent.

Governing law

These terms are governed by the laws of New South Wales, Australia, and you agree to the non-exclusive jurisdiction of its courts.

If any part of these terms is unenforceable, the rest still applies.
